California Non-Disclosure Agreement Sample

Purpose of Disclosure:

The parties wish to share certain confidential information related to potential business collaboration, and this NDA sets forth the terms for maintaining confidentiality and use of such information.

Definition of Confidential Information:

“Confidential Information” includes any proprietary or sensitive information disclosed by the Disclosing Party to the Receiving Party, whether written, oral, or otherwise, that is designated as confidential or that should reasonably be understood to be confidential.

Obligations of the Receiving Party:

The Receiving Party agrees to keep all Confidential Information in strict confidence, not disclose it to any third parties, and use it solely for the purpose described above. The Receiving Party shall take reasonable steps to protect the confidentiality of the information.

Term of Agreement:
